Most Nigerian entrepreneurs register the WRONG business structure and it costs them later. Here's how to get it right the first time.
When people come to me about CAC registration, the number one mistake I see is this:
They registered whatever was cheapest or easiest without thinking about where their business is going.
And 2 years later, they're stuck.
So let's settle this once and for all.
Business Name vs. Limited Liability Company which one do you actually need?
BUSINESS NAME (BN)
Best for you if:
✅ You're a solo entrepreneur or freelancer
✅ You're just starting out and testing your business idea
✅ Your clients are mostly individuals, not corporations
✅ You don't plan to take on partners or investors soon
✅ You want the fastest, most affordable registration
What to know:
⚠️ You and the business are legally the SAME entity meaning personal liability if things go wrong
⚠️ Some corporate clients and government agencies won't contract a Business Name
⚠️ Cannot issue shares or bring in equity investors
LIMITED LIABILITY COMPANY (LLC)
Best for you if:
✅ You want to separate your personal assets from your business
✅ You're targeting corporate clients, government contracts, or tenders
✅ You have or plan to have business partners
✅ You want to attract investors or apply for serious funding
✅ You're building something you want to scale or eventually sell
What to know:
⚠️ Slightly higher cost and longer processing time than BN
⚠️ Requires at least one director and a registered address
⚠️ Annual returns must be filed with CAC to keep it active
So which one is right for YOU?
Here's my simple rule:
👉 If you're selling to people, Business Name works fine to start.
👉 If you're selling to companies or government, go straight to LLC.
👉 If you're not sure where your business is going , go LLC. You'll never outgrow it.
The registration you choose today will either open doors or close them tomorrow.
