MODERATOR; Ms. DOROTHY TAFADZWA MATIZA
Dorothy Tafadzwa Matiza is the Group Company Secretary and Legal Counsel of ABC Holdings Limited part of Atlas Mara, a pan-African financial services provider with operations in Southern and Eastern Africa. Dorothy oversees Legal, Regulatory, Stakeholder and Compliance Risk matters for the Parent Company and its Subsidiary operations. She is a Governance Professional with 20+ years of experience as a value adding legal adviser, being the “backbone” to business by ensuring that the Organization and its Subsidiaries operate within the various legal and regulatory framework at all times, offering counsel on legal and strategic issues to the Board of Directors and Group Management Committee (EXCO) in a broad range of financial transactions, in order to ensure that the Group implements its business strategies, in a sustainable manner.
Dorothy’s professional experience spans over 20 years as a Private Practitioner and Corporate Lawyer, Conveyancer and Notary Public. She has held the position of Head of Legal and Company Secretary of Botswana Development Corporation Limited and has practiced with the firms Doreen Khama Attorneys and Rahim Khan & Co., as well as secondment to Southview (Proprietary) Limited (the Administrators of the BOMAID Fund) as Legal services Manager and Company Secretary for the group of companies which includes MRI Medical Rescue and Alpha Access (Pty) Ltd.
Dorothy has a strong background in commercial and corporate law, regulatory and compliance matters, negotiating and management of commercial agreements, enterprise and legal risk management, company secretarial and corporate governance. In addition, Dorothy specializes in litigation, insolvency law and practice.
CAREER ACHIEVEMENTS OF NOTE
• Providing assurance to the company on the management of compliance to legislation through the development and implementation of compliance methodology, and the effective identification and mitigation of compliance risks.
• Introduced and Standardized Compliance reporting for ABC Holdings Limited and the BancABC Subsidiaries to include developments in the law, regulatory requests, risk reporting and regulatory findings made across the Group, in order to enhance compliance monitoring to local and international laws/standards such as Anti-Money Laundering (AML), Market Abuse, Insider Trading, Conflicts of Interests, Market Conduct, and Employee Compliance and minimize risk and breaches.
• Shaped framework to local and international legal, compliance, governance regulatory requirements, backed by appropriate policies, standards, Board and Staff training.
• Advising on pipeline transactions, mergers and acquisitions, commercial partnership agreements, new products and carrying out due diligence exercises.
• Developed and implemented appropriate processes and governance controls to ensure that the BancABC Subsidiaries comply with their Charters and Bye-Laws and all legal and statutory requirements arising therefrom, in order to maintains and ensure good standards of compliance with all matters relating to corporate governance and best practice.
• Customized the King IV Code for implementation throughout the Atlas Mara Group of Subsidiaries.
• Introduced and Standardized Legal reporting for ABC Holdings Limited and the BancABC Subsidiaries, by introducing key data points for legal reporting through: litigation data, trends analyses, materiality thresholds, and provisioning data, to enable both qualitative and quantitative reporting within the Group.
• Advised on the listing of the BDC BWP 1 Billion Note Program on the Botswana Stock Exchange, and settlement of all contracts and documents (2016).
• Adviser and lead in drafting, settlement and negotiation of the guarantee agreement between The Republic of Botswana and The African Development Bank in respect of a line of credit to Botswana Development Corporation Limited.
• Developed and implemented appropriate processes and governance controls for all contractual activities for Botswana Development Corporation, as well as monitoring of contractual activities for the Group and its Subsidiaries.
• Adviser and Negotiated all contracts in the divestment of Can Manufacturers (Pty) Ltd and merger with Nampak Div Foods (SA).
• Developed and implemented Service Level Agreements and Contracts for Botswana Development Corporation Limited
• Advised De Beers (UK) on the proper processes to follow prior to the relocation of its employees from the United Kingdom to the Republic of Botswana.
